From January 1, 2024, the entire natural area and people of District 2, District 9 and Thu Duc District will be officially merged into Thu Duc City, Ho Chi Minh City. When establishing a company in District 2, the following conditions must be met:

  • Firstly, The company name must be in accordance with the provisions of Articles 37, 38 and 41 of the Enterprise Law 2020.
  • Secondly, The company’s business lines do not fall into the group of prohibited business lines prescribed by the State in Article 6 of the Investment Law 2020.
  • Thirdly, The company’s head office address is located in District 2 or Thu Duc City at the time of registration.
  • Fourthly, The business registration dossier is fully prepared and valid according to the provisions of law.
  • Lastly, Pay all business registration fees according to the provisions of law.

Order and procedures for establishing a company in District 2

2.1. Prepare business registration documents

To establish a company in District 2, it is necessary to prepare a set of documents including:

  • Application for business registration according to the form prescribed in Appendix I issued with Circular No. 01/2021/TT-BKHĐT guiding on business registration;
  • Also, List of members if registering as a limited liability company with 2 members, a joint stock company and a partnership;
  • Then, Company charter;
  • Further, Certified copies of legal documents of the legal representative, company owner, company members, founding shareholders (if any);
  • Furthermore, Authorization letter for the representative to submit the business registration application if the person submitting the application directly is not the legal representative of the company.
  • At last, Certified copies of legal documents of the person authorized to submit the business registration application (if any).

2.2. Submitting the application

After preparing all the business registration documents, you can submit the application in the following ways:

  • Method 1: Submit the application directly to the Business Registration Office – Department of Planning and Investment of Ho Chi Minh City.
  • Even, Method 2: Submit the application by post to the Business Registration Office – Department of Planning and Investment of Ho Chi Minh City.
  • Specially, Method 3: Submit the application online through the account registered at the National Business Registration Information Portal: dangkykinhdoanh

2.3. Receive the result

After 3 to 5 working days, if the application is valid, the Business Registration Certificate will be issued. In case the application is not valid, there will be an official dispatch with instructions to make corrections and supplements to complete the registration application.

After receiving the Certificate of Business Registration, the company needs to carry out the following necessary procedures:

  • Firstly, Publish the information of the Certificate of Business Registration on the National Portal on Business Registration;
